Terms of Service & Service Agreement

These Terms of Service ("Terms") constitute a legally binding agreement between Berhive Hyac Limited, Reg number: 79971262, a Hong Kong company with registered address at SUITE C, LEVEL 7, WORLD TRUST TOWER, 50 STANLEY STREET, CENTRAL HONG KONG ("Company", "we", "us", or "our"), and any person or entity accessing or using https://berhive.org and any related platform, software, application programming interfaces, automation workflows, dashboards, integrations, account systems, and related services (collectively, the "Services").

1. Acceptance of Terms

By accessing or using the Services, you represent that you have read, understood, and agree to be bound by these Terms. If you are using the Services on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

2. Eligibility

You may use the Services only if you are legally capable of entering into a binding contract under applicable law. The Services are intended for business users, professionals, developers, and other lawful users.

3. Services

The Company provides a technology platform operating in the API automation flow sector, including software tools, integrations, account dashboards, usage-based API access, automation features, and related functionality. We may modify, suspend, or discontinue any part of the Services at any time, with or without notice.

4. Account Registration and Security

• You must provide accurate, current, and complete information.
• You are responsible for maintaining the confidentiality of login credentials.
• You are fully responsible for all activities occurring under your account.
• You must promptly notify us of any unauthorized access or suspected compromise.

5. Fees, Billing, and Credits

Certain Services may be provided on a prepaid, subscription, pay-as-you-go, usage-based, or account credit basis. You agree to pay all fees, charges, taxes, and applicable costs associated with your use of the Services.

• usage may be billed by requests, transactions, features, volume, or subscription tier;
• prepaid balances and credits may be required for certain services;
• we may suspend Services for non-payment, failed billing, abuse, excessive risk, or compliance review;
• all fees are exclusive of taxes unless expressly stated otherwise.

6. Acceptable Use

You shall use the Services only for lawful purposes and in compliance with these Terms, our Acceptable Use Policy, and all applicable laws and regulations. Without limitation, you shall not:

• use the Services for unlawful, fraudulent, deceptive, abusive, or infringing activities;
• circumvent security, authentication, access controls, or rate limits;
• interfere with the integrity, availability, or operation of the Services;
• use the Services for malware, spam, credential stuffing, unauthorized scraping, or prohibited automation;
• resell, sublicense, or provide unauthorized third-party access without written approval where approval is required.

7. API and Automation Usage

The Services may include access to APIs, automation engines, connectors, and workflow tools. You acknowledge and agree that:

• usage limits, fair use thresholds, technical controls, and rate limits may apply;
• the Company may monitor usage for billing, abuse prevention, security, and compliance;
• third-party integrations may be subject to separate third-party terms and restrictions;
• you are solely responsible for the legality and authorization of your inputs, outputs, workflows, and connected systems.

8. Intellectual Property

All intellectual property rights in and to the Services, including software, source code, structure, design, branding, content, documentation, text, graphics, interfaces, and underlying technology, are and shall remain the exclusive property of the Company or its licensors.

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Services for their intended purpose.

9. User Data

You retain responsibility for your own data, configurations, instructions, and workflow content. You represent and warrant that you have all necessary rights, permissions, and legal bases to submit data to the Services and to instruct us to process it.

10. Suspension and Termination

We may suspend, restrict, or terminate access to the Services immediately, with or without notice, if:

• you breach these Terms or any related policy;
• we suspect fraud, abuse, unlawful activity, excessive risk, or security threats;
• payment is overdue or disputed;
• we are required to do so by law, regulation, court order, payment partner, or risk/compliance obligations.

11. Disclaimer of Warranties

To the maximum extent permitted by law, the Services are provided on an "as is" and "as available" basis. The Company disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, and uninterrupted operation.

12. Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, revenue, goodwill, data, business opportunity, or anticipated savings, arising out of or related to the Services.

To the maximum extent permitted by law, the aggregate liability of the Company for any claim arising out of or relating to the Services or these Terms shall not exceed the total amount actually paid by you to the Company for the Services during the thirty (30) days immediately preceding the event giving rise to the claim.

13. Indemnity

You agree to defend, indemnify, and hold harmless the Company, its directors, officers, employees, affiliates, contractors, licensors, and agents from and against any claims, losses, liabilities, damages, costs, and expenses, including reasonable legal fees, arising out of or related to your use of the Services, your data, your violation of these Terms, or your violation of any law or third-party rights.

14. Third-Party Services

The Services may interoperate with third-party services, APIs, connectors, payment providers, hosting providers, and software. The Company is not responsible for third-party products or services, and their use may be subject to separate terms and policies.

15. Changes to the Services or Terms

We reserve the right to amend these Terms at any time. Updated Terms will be posted on this page with the revised effective date. Continued use of the Services after an update constitutes acceptance of the revised Terms.

16. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Hong Kong, without regard to conflict of laws principles. The courts of Hong Kong shall have exclusive jurisdiction to resolve disputes arising from or in connection with these Terms, unless otherwise determined by the Company in its sole discretion where permitted by law.
